CCDSS Officer Positions

President

The President shall have general supervision over the day-to-day activities and operations of the CCDSS subject, however, to the control of the Board. The President shall sign, execute and acknowledge, in the name of the CCDSS, deeds, mortgages, bonds, contracts, and other instruments authorized by the Board except in cases where the signing and execution thereof shall be expressly delegated by the Board or by these Bylaws to some other officer or agent of the CCDSS; and, in general, shall perform all duties incident to the office of President, and such other duties as from time to time may be assigned to him/her by the Board. The President serves ex officio on every committee by virtue of office. The President shall have the right to sign checks on behalf of CCDSS.

Vice-President

The Vice-President shall perform the duties of the President in the President’s absence and such other duties as may from time to time be assigned by the Board or the President.

Secretary

The Secretary, or the Secretary’s designee, shall keep minutes of all meetings of the Board of Directors, be the custodian of the corporate records, give all notices and communications within and outside the CCDSS as are required by law or by these Bylaws, and generally, perform all duties incident to the office of Secretary and any other duties as may be required by law or by these Bylaws, or that may be assigned by the Board of Directors.

Treasurer

The Treasurer shall have charge and custody of all funds of the CCDSS, and will deposit the funds as required by the Board of Directors, keep and maintain adequate and correct accounts of the CCDSS’s assets and business transactions, render reports and accountings to the Board of Directors as required by the Board of Directors or by law. The Treasurer shall perform in general all duties incident to the office of Treasurer and any other duties as may be required by law or by these Bylaws, or that may be assigned by the Board of Directors. The Treasurer shall have the right to sign all checks on behalf of the CCDSS.
